DogPay Automatic Renewal Service Rules

These Automatic Renewal Service Rules (the “Rules”) are an integral part of the Membership Service Agreement between you (hereinafter referred to as “Member”) and DogPay (hereinafter referred to as “Service Provider”). By participating in the automatic renewal service, the Member is deemed to have fully read, understood, and voluntarily accepted all provisions of these Rules, the Membership Service Agreement, and the DogPay Comprehensive Service Terms and Conditions (the “Master Agreement”). All terms not defined herein shall have the same meanings as those defined in the Membership Service Agreement.

1. Deduction Mechanism

1.1 Subscription Replacement: If the Member activates a new membership subscription (including the same tier or a different tier) before the expiration of the current automatically renewed membership, the newly activated membership shall automatically replace the original automatic renewal plan. The original automatic renewal plan shall be terminated immediately upon the activation of the new membership.

1.2 Original Plan Termination: Upon the replacement of the original automatic renewal plan in accordance with Section 1.1, the remaining duration of the original plan shall terminate immediately, and no refund shall be provided for any unused duration or paid fees of the original plan. This provision shall not apply if otherwise required by the Applicable Law.

1.3 Deduction Timing: The Service Provider shall attempt to deduct the renewal fee 24 hours before the expiration of the current membership. If the deduction is successful, the membership shall be automatically renewed for a period consistent with the original subscription term (e.g., monthly, annually). If the deduction fails, the Service Provider shall follow the exception handling procedures set forth in Section 3.

2. Billing and Notifications

2.1 Renewal Notifications: The Service Provider shall notify the Member of the upcoming automatic renewal and deduction before the cancellation deadline of the automatic renewal plan, and additionally send a reminder via system.

2.2 Notification Methods: Notifications shall be sent to the Member’s registered contact information in the DogPay system. The Member shall be solely responsible for any failure to receive notifications due to incorrect, outdated, or unupdated contact information.

2.3 Deduction Priority: The renewal fee shall first be deducted from the initial payment account used by the Member for the first subscription to the automatic renewal service. If the balance of the initial payment account is insufficient to cover the renewal fee, the system will automatically attempt to deduct the fee from other DogPay accounts, linked wallets, or authorized payment methods under the Member’s name. The Member authorizes the Service Provider to conduct such secondary deductions.

3. Exception Handling and Arrears

3.1 Failed Deductions: If the automatic deduction fails due to insufficient account balance, expired payment card, account freeze, or other reasons, the Service Provider shall notify the Member of the deduction failure. Upon deduction failure, the Member’s membership benefits and related card functions shall be suspended immediately until the renewal fee and any related fees are paid in full. During the suspension period, the automatic renewal service shall be temporarily disabled.

3.2 Handling Fees for Failed Deductions: Failed deductions or returned payments may incur handling fees. The specific amount of the handling fee shall be determined in accordance with the relevant regulations of the payment institution and the Service Provider’s fee standards. The handling fee shall be borne by the Member and deducted together with the renewal fee when the Member makes up the payment.

3.4 Late Fees: If the Member fails to pay the renewal fee and related fees, the Member shall bear late fees for the arrears. The late fee shall be calculated on a daily basis at a rate not exceeding the maximum limit permitted by the Applicable Law, starting from the day after the grace period expires. The late fee shall be prioritized for deduction from the Member’s DogPay account or linked payment methods.

3.5 Asset Liquidation: If the Member’s arrears exceed 5 natural days after the grace period expires, the Service Provider shall have the right to liquidate the Member’s collateralized assets to offset all owed fees and liquidated damages.

3.6 Termination Due to Arrears: If the Member’s arrears remain unpaid after the asset liquidation or if the Member has no collateralized assets to liquidate, the Service Provider shall have the right to terminate the Member’s membership and the automatic renewal service.

4. Modifications to Automatic Renewal Rules

4.1 Fee Changes: Any modification to the automatic renewal rules shall require the Service Provider to give the Member prior notice.

4.2 Notice Methods for Modifications: All modifications to these Rules shall be notified to the Member through the DogPay system, email, or other registered contact methods. The modifications shall take effect on the specified effective date after the notice period expires. If the Member does not accept the modifications, the Member may cancel the automatic renewal service before the modifications take effect; continued use of the automatic renewal service after the modifications take effect shall be deemed acceptance of the modified Rules.
